CERTIFICATION OF CORPORATE RESOLUTION OF
HIDE-A-WAY BAY PROPERTY OWNER’S INC.

                               ) KNOW ALL MEN BY THESE PRESENTS:
COUNTY OF SMITH  )

BEFORE ME, the undersigned authority, on this day personally appeared Mike Young, known to me to be a credible person, over the age of eighteen, and who being by me first duty sworn did, upon oath, depose and state the following:

I, Mike Young, am the President of HIDE-A-WAY BAY PROPERTY OWNER’S, INC., a Texas corporation, duly organized and existing under the laws of said State. No proceedings are pending for the forfeiture of its charter or for its dissolution, voluntarily or involuntarily, and it is duly qualified to do business in the State of Texas and is in good standing in such State.

A meeting of the Board of Directors of said corporation was held the 4th day of February, 2014, which meeting was duly called and held in accordance with the laws and By-Laws of said corporation. At such meeting, a quorum of Directors was present, and at said meeting the following resolution was duly and legally adopted as it appears from the minutes of said meeting. Said resolution has not in any manner been revoked or altered:

“Whereas, HIDE-A-WAY BAY PROPERTY OWNER’S, INC. has, from time to time, acquired title to various lots, tracts or parcels of land in Smith County, Texas, and subsequent thereto said corporation has executed instruments pertaining to said lots, tracts or parcels of land or has sold various lots, tracts or parcels of land; and,

Whereas, the said HIDE-A-WAY BAY PROPERTY OWNER’S, INC. will in the future purchase and/or sell various lots, tracts or parcels of land in Smith County, Texas, and may construct improvements or renovate and repair existing improvements, and in connection therewith will execute various instruments with banks, savings and loan associations, other lending institutions, or individuals for the purpose of purchasing and/or selling land and constructing improvements or renovating or making repairs and Mike Young, President, of HIDE-A-WAY BAY PROPERTY OWNER’S, INC., Without the joinder of other officers, and without the necessity of attaching the seal of the corporation to any instruments or documents, are authorized to purchase, convey, accept or encumber any or all of the lands in Smith County, Texas, and the said Mike Young, President of HIDE-A-WAY BAY PROPERTY OWNER’S, INC. is further authorized to execute, endorse, acknowledge and deliver all conveyances, mortgages, bills of sale, contracts, leases, Mechanic’s Lien Contracts, notes, releases, endorsements, assignments and transfers and any and all other documents and instruments that may be necessary in the transaction of the corporation’s business pertaining to lands situated in Smith County, Texas, and to fully bind and obligate HIDE-A-WAY BAY PROPERTY OWNER’S, INC, and such authority shall remain in full force and effect until revoked or changed by HIDE-A-WAY BAY PROPERTY OWNER’S, INC. by instrument recorded in the office of the County Clerk of Smith County Texas; and

WHEREAS, the Board of Directors of HIDE-A-WAY BAY PROPERTY OWNER’S, INC. desires to ratify execution of all instruments heretofore signed pertaining to land in Smith County, Texas, owned by said corporation, and to authorize Mike Young, President and Gwenda Hamilton, Secretary, of HIDE-A-WAY BAY PROPERTY OWNER’S, INC, to execute any and all necessary instruments in the future, incident and required in the course and conduct of the operation of said corporation, in purchasing and selling land in Smith County, Texas, and in developing, building or remodeling existing structures on land in Smith County, Texas;

NOW, THEREFORE, BE IT RESOLVED by the Board of Directors of HIDE-AWAY BAY PROPERTY OWNER’S, INC. that it ratifies execution of all instruments heretofore signed pertaining to land in Smith County, Texas, owned by said corporation, and that Mike Young, President and Gwenda Hamilton, Secretary, of HIDE-A-WAY BAY PROPERTY OWNER’S, INC, be authorized, in their official capacity as corporate officers, to execute deeds, and to convey land located in Smith County, Texas, without a joinder of other officers, and Without the necessity of attaching the seal of the corporation to such instrument or instruments.

BE IT FURTHER RESOLVED that the said HIDE-A-WAY BAY PROPERTY OWNER’S, INC. is authorized to purchase and/or sell various lots, tracts, or parcels of land in Smith County, Texas, and to construct improvements or renovate and repair existing improvements, Smith County, Texas, and to construct improvements or renovate and repair existing improvements in Smith County, Texas, and Mike Young, President of HlDE-A-WAY BAY PROPERTY OWNER’S, INC, in his official capacities as corporate officers, is authorized to execute various instruments with banks, savings and loan associations, other lending institutions, or individuals for the purpose of purchasing and/or selling land in Smith County, Texas, conducting the operation of said corporation in developing, building, or remodeling existing structures on land in Smith County, Texas, without a joinder of other officers, and without the necessity of attaching the seal of the corporation to such instruments or documents and is authorized to purchase, convey, accept, or encumber any or all of the land owned by the said corporation in Smith County, Texas, and Mike Young, President of HIDE-A-WAY BAY PROPERTY OWNER’S, INC. is further authorized to execute, endorse, acknowledge, and deliver all conveyances, mortgages, bills of sale, contracts, leases, Mechanic’s Lien Contracts, notes, releases, endorsements, assignments and transfers and any and all other documents and instruments that may be necessary to purchase and/or sell land belonging to the corporation in Smith County, Texas, and develop, repair and/or remodel dwellings situated on land in Smith County, Texas, conduct the operation of said corporation, and to bind and obligate HIDE-A-WAY BAY PROPERTY OWNER’S, INC, and such authority shall remain in full force and effect until revoked or changed by HIDE-A-WAY BAY PROPERTY OWNER’S, INC. by instrument recorded in the office of the County Clerk of Smith County, Texas.

BE IT FURTHER RESOLVED that this instrument revokes previously recorded CORPORATE RESOLUTIONS granting such authority to persons no longer President of HIDE-A-WAY BAY PROPERTY OWNER’S, INC.”
